Corporate Secretary - Reporting to the Chief Executive Officer

Corporate Secretary responsibilities:

working through the CEO and in frequent collaboration with the Chairs of the Board and its Committees and the senior management team:

  • Coordinates and organizes meetings of the Board of Directors and its Committees of Claystone Waste Ltd and its subsidiary companies including minority interests
  • Coordinates and organizes Shareholder meetings including the Annual General Meeting and special meetings including those of the Shareholder Proxy Committee
  • Coordinates and organizes CEO and senior management meetings
  • Collect, review and proofread all meeting-related documentation and materials issued to Directors, Committee members, senior management and advisory guests. Ensures accuracy and quality of materials prior to timely delivery to Directors and other meeting participants
  • Provides corporate liaison and administrative support for corporate Directors and committee members including coordination with the Human Resources department for remuneration, expense reimbursement, conference and travel bookings
  • Provides CEO administrative support as required
  • Attends Director, Committee, CEO and senior management meetings in order to coordinate documentation flow, record decisions taken, create follow up action lists and prepare minutes and other related documents for approval and filing
  • Prepares required shareholder and public communication records from meetings in coordination with the Communications department subject to approval for release procedures
  • Controls distribution of and maintains all meeting communication records including distribution and recording of agendas and supporting documentation and meeting minutes and corporate resolution logs
  • Maintains registry of all corporate documents, current and archival, in coordination with the Finance and Administration department including incorporation documents, directors’ registration, shareholder and partnership agreements, audited financial statements, government regulatory filings, corporate policies and procedures and other documents with binding obligations for the Board of Directors and subsidiary companies and minority interests
  • Provides research on emerging issues and best practices in corporate governance and prepares advisory recommendations
  • Prioritizes, and follows up on incoming issues and concerns, and assigned directives, including confidential and sensitive matters
  • Undertakes research and special projects to support other corporate priorities
  • Recommends improvements in policies, processes and practices in order to achieve superior governance and business effectiveness and efficiency

Corporate Secretary Qualifications – Skills, Education and Experience:

  • Strong organizational skills with attention to detail and demonstrated ability to provide a high level of accuracy
  • High level of professionalism and ability to act with tact, diplomacy and discretion when dealing with sensitive and confidential information
  • Superior verbal/written communications, organizational and interpersonal skills
  • Bachelor’s degree in Political Science, Economics, Business or similar (paralegal?)
  • Governance designation (e.g. Governance Professional of Canada – GPC.D, Institute of Corporate Directors, ICD.D), knowledge about corporate governance and an understanding of the legal system as it affects a corporation would be assets. It is expected that the Corporate Secretary will obtain and maintain an approved governance designation in the course of their employment with Claystone Waste
  • 2-3 years’ experience in a professional work environment with experience in research, corporate governance or providing senior level administrative support. Providing support to Board of Directors or Internal Executive Committees would be an asset
  • Proficient knowledge of Microsoft Office (Word, Excel, PowerPoint), Teams and SharePoint. Experience in Diligent Board Books and Adobe would be an asset

The Corporate Secretary position is a full-time, salaried position, with normal working hours of 35 hours per week, Monday to Friday. Given the meeting schedules inherent with the position, the actual daily working schedule will be flexible. Additional hours may be incurred from time to time which will be recompensed with time in lieu.

The workplace requirements for the Corporate Secretary position are for hybrid locations. The office location for Claystone Waste Ltd. is at the corporate administrative building in Ryley Alberta, however, work conducted at this location is reasonably expected to be between 2 – 4 days per month.

Remote work from home is permitted subject to approval under Claystone Waste Ltd.’s Hybrid Work policy. A laptop computer and supporting office supplies are provided by the company. A monthly mobile phone allowance is also provided by the company.

Meetings are held both virtually and in-person. In-person meetings are typically held either in Ryley or in the Edmonton area.Travel expenses other than to meetings held in Ryley and the Edmonton-area will be reimbursed.

The position is eligible for Claystone’s full-time benefits including paid health and dental benefits, participation in group life and disability insurance programs, participation in the Local Authorities Pension Plan, sick leave allowance and vacation allowance beginning at 3 weeks per year.
