Job Description

You will be a member of a dynamic group of lawyers supporting TD Securities. As Senior Legal Counsel, you will have a challenging and diverse practice that will allow you to refine your legal skills every day, and allow you to broaden your scope of experience. You will work as part of a team to provide ongoing support and legal advice to TD Securities capital markets business including securities matters, investment banking, asset securitization, capital investments, and certain back-office functions that support this activity. The ideal candidate will:

  • Possess some understanding of the legal issues and risks relating to a large variety of capital markets products and services including securities trading, investment banking services and funding transactions;
  • Provide TD Securities with strategic and tactical advice on a wide variety of matters including ordinary course documentation, legal and regulatory changes, industry and market considerations, assisting with the development of new or novel products and services, and other matters that arise from time to time;
  • Work collaboratively with business and corporate areas in TD Securities and other members of TD Legal, both in Canada and globally, to deliver the highest quality of service;
  • Ensure compliance with Bank Act and other applicable laws, rules and regulations;
  • Review and advocate on new legislation and regulation;
  • Keep themself and the TD Legal Department, businesses, channels and corporate areas up-to-date on legal issues affecting their areas of responsibility; and
  • Assist in the management of relevant regulatory relationships and investigations.

Job Requirements

  • Licensed to practice law in Ontario with a minimum of 8 years' experience in securities law or capital markets.
  • Provide best-in-class legal advice that is integrated with your clients’ strategies and objectives and coordinated across all relevant jurisdictions.
  • Provide advice in a clear, concise and timely manner in a highly demanding and time sensitive environment.
  • Build and maintain excellent, collaborative working relationships internally and externally and regularly advise and collaborate with other representatives of Control Functions within the Bank.
  • Contribute to high-priority Legal Department initiatives, including Knowledge Management and workflow improvement.
  • Demonstrated depth and breadth of knowledge of a broad range of Canadian bank regulatory laws and regulations, including but not limited to the Bank Act and its regulations.
  • Strong verbal and written communications skills.
  • Strong organization skills, ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.
  • Ability to think critically, work independently and make risk-based decisions.
  • Ability to interact and effectively advise senior officers of the Bank.
  • Ability to deal with conflicting points of view and effect creative solutions.
  • Ability to be “solutions-oriented”, have excellent business and legal judgment and an aptitude for working effectively on cross-functional teams.
  • Ability to work effectively with external counsel.
  • Law degree from an accredited law school and qualified to practice law in Ontario
